The film is partly based on director Ben Younger's personal experiences. One of Younger's former jobs was as a broker at a boiler room, where he witnessed first hand the office tactics and procedures, which he soon realized were highly illegal. The experience inspired him to develop a script.

Ben Affleck worked a couple days at SAG scale on the film, and presented Younger with a brand new BMW motorcycle as a gift.

The Boiler Room DVD includes an alternate ending that implies a rampage massacre in the final scene by a financially disgruntled victim in the story.

When Seth is driving on the Long Island Expressway he says he goes to his interview off exit 53. In the next frame you see Seth driving on Northern Blvd. which is exit 32. Further in this scene we see Seth driving on Northern Blvd. east but then cuts to a scene where he is traveling west on Northern Blvd. which would make him driving the total opposite way of where he wanted to go.Seth invites his father to a diner for lunch and arranges the napkins on the table. After his father sits down, the napkins are back in their original positions.The FBI tells Seth to copy the contents of his hard drive onto a floppy disk. Unless all he had on the hard drive was a text file of names, there is no way the contents would fit onto a 1.44MB floppy disk.When Michael is talking to the room full of brokers to tell them about the party, his tie pin is alternately closed/open between shots.

Seth mentions that the brokers act like they are taking the 6 train to Fulton Street when in fact you take the 4/5 to Fulton Street. The 6 only goes to City Hall/Brooklyn Bridge.When Seth is avoiding talking to Harry Reynard, Seth's secretary has a cup from Seattle's Best Coffee. While this brand is not exclusively sold in Seattle, they had no locations in New York or New Jersey at the time of the movie.When Seth's father calls him to say that he would go in with him with the IPO scam he states first that "I'll make sure you won't get caught" and then "I have a friend..." While the FBI playback is different, since this wasn't court testimony, they may have been using an altered tape.When Greg drives Seth home in his Ferrari, throughout the entire scene, the headlights on his car are off, and folded down, even though it is nighttime. After he drops Seth off, as he drives away, his lights are finally up and on.

Also in the last scene, Seth's car is beside a black VW Passat and the red Diablo is beside the Passat. When he pulls out (now perpendicularly parked and seen from above) the Passat is gone.Seth's Volvo in last scene inexplicably pulls perpendicular in parking space.After Seth and Chris have their argument in the stairwell right off of the boiler room, Seth goes down at least one flight of stairs on his way out. In the next scene he passes Abby in the receptionist area that is on the same floor as the boiler room - because he's been bumped upstairs to nicer offices.

A different ending, in which Seth's main victim Harry goes to the Boiler Room armed with guns and ostensibly seeking bloody revenge, was scrapped in favor of the FBI bust ending. This alternate ending is found on the DVD.When Seth is visiting the office at night, he looks through a stack of contracts, which he notices all have the same names on them. One of the names is co-producer E. Bennett Walsh.Ratner's, the restaurant Seth and his family eat dinner in, is the same restaurant that Gene Hackman and Roy Scheider stake out in "The French Connection" (1971).

In the scene where Chris (Vin Diesel) and Seth (Giovanni Ribissi) are waiting outside Greg's (Nicky Katte) house, we never see the car move or get turned on. Before they shot the scene Ben Affleck was sitting in the car, listening to music. He accidentally took the car keys home with him. They absolutely had to shoot the scene that night and couldn't find Ben. They shot the scene with the car where it is and lit up the house so there wouldn't be a reflection of the camera and crew.Greg tells Chris to get his "One Race" hands off his money. Chris is played by Vin Diesel, who's production company is called One Race Productions.
